Internal Investigations: What Every Contractor Needs to Know 

“Corporate Integrity” has never been more important. The current environment is very unforgiving with the news covering an increasing number of CEOs in handcuffs and “Executives on Trial.” Further, there are increased penalties for white collar crimes and an increased use by the U.S. Government of charges of obstruction of justice, false statement, perjury and misprision of a felony.

In the Federal government contracting world, corporate integrity is a top priority for corporations given the new regulations implemented in mid-December 2008 which makes government prime contractors and certain subcontractors subject to required disclosure of violations of certain Federal criminal law involving fraud, conflict of interest, bribery or gratuity violations and the civil False Claims Act as well as significant overpayments. If a corporation knowingly fails to timely disclose such violations of certain Federal criminal laws, the Civil False Claims Act, or significant overpayments on Federal contract, then a corporation could be subject to suspension or debarment from Federal programs (in addition to significant penalties). This could be the death knell to a government contractor. Even where a contractor is not suspended or debarred, there exists the increased chance of the imposition of a Corporate Integrity Agreement, or other costly mechanism for independent review of the company’s compliance and ethics programs.

Joseph Walker is a partner in Squire Sanders Washington DC office. Joe is a former trial lawyer with the US Department of Justice Criminal Division, Fraud Section, where he was the lead prosecutor on investigations and prosecutions of criminal matters involving complex factual and legal issues, including allegations of bribery, bank fraud, money laundering, securities fraud, counterfeiting, obstruction of justice, mail/wire fraud, and violations of the Foreign Corrupt Practices Act, Travel Act and Internal Revenue Code in a wide range of industries. Joe is a leading Foreign Corrupt Practices Act (FCPA) practitioner who represents companies and executives in FCPA internal investigations, enforcement actions, compliance and defense matters before the US Securities and Exchange Commission (SEC), the US Department of Justice (DOJ), the UK�s Serious Fraud Office and similar authorities. Joe received his B.A. from The George Washington University in 1992, and earned his J.D., from the University of Minnesota in 1995. Karen Harbaugh is a principal in the Northern Virginia office of Squire Sanders. With 15 years of experience, Ms. Harbaugh began her career in government contracts working in-house for a government contractor where she was responsible for drafting, negotiating and managing contracts, subcontracts, teaming agreements and consulting agreements and otherwise administering prime contracts and subcontracts for the corporation�s hardware maintenance division. Ms. Harbaugh has substantial experience representing and counseling defense industry, government services, intelligence community and high-tech clients at the federal, state and local levels concerning General Services Administration multiple-award schedule contracting matters, security clearances, contract interpretation, Service Contract Act, teaming agreements and subcontracts, contract claims, prime contractor-subcontractor disputes, contract claims, and audits. Ms. Harbaugh has prepared several government contracts compliance programs and related policy and procedures to comply with applicable government contract statutes and regulations, such as the Federal Acquisition Regulation (FAR), the Department of Defense FAR Supplement and other agency FAR supplements. Ms. Harbaugh received her B.A., in 1993 from Murray State University and her J.D., from Oklahoma City University in 1997.
